1. Introduction and Acceptance
These Terms and Conditions (the "Terms") govern your access to and use of the website located at https://hethwish.com (the "Website"), and all related services, subscriptions, deliverables, and communications provided by Hethwish ("Hethwish", "we", "us", or "our"), including but not limited to the Pipeline Trigger Briefs service (the "Service").
By accessing this Website, creating an account, subscribing to any plan, or using any part of the Service, you ("Subscriber", "Client", "you", or "your") confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Website or Service.These Terms constitute a legally binding agreement between you and Hethwish. If you are entering into these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the terms "you" and "your" shall refer to that entity.
2. Definitions
In these Terms, the following definitions apply:
"Brief" or "Pipeline Trigger Brief" means the curated intelligence report delivered to Subscribers containing scored B2B SaaS company profiles, buy signals, and outreach copy.
"Confidential Information" means the contents of any Brief, the scoring methodology, signal classification system, outreach templates, and any proprietary data or analysis provided through the Service.
"Pilot" means a trial subscription period offered at a reduced rate, as specified in the applicable plan description.
"Subscription Plan" means the specific tier of service selected by the Subscriber (e.g., Signal, Pipeline, Growth, or Partner), each with defined deliverables, pricing, and delivery cadence.
"Vertical Slot" means a limited allocation within a specific industry vertical, restricting the number of subscribing agencies per niche to prevent signal saturation.
"Intellectual Property" means all patents, copyrights, trademarks, trade secrets, proprietary methodologies, scoring systems, outreach frameworks, and other intellectual property rights owned by or licensed to Hethwish.
3. Service Description
Hethwish provides a subscription-based B2B sales intelligence service designed for performance marketing agencies and related businesses. The Service involves the curation, scoring, and delivery of Pipeline Trigger Briefs containing identified buy signals from B2B SaaS companies, together with outreach copy, paid acquisition angles, and contextual analysis.
3.1 Delivery
Briefs are delivered on the schedule corresponding to the Subscriber's chosen plan (weekly, fortnightly, or monthly). Hethwish will use commercially reasonable efforts to deliver Briefs on the scheduled date and time, but does not guarantee delivery at any specific time. Occasional delays due to technical issues, force majeure events, or operational circumstances shall not constitute a breach of these Terms.
3.2 No Guarantee of Results
The Service provides intelligence and analysis to support your business development efforts. Hethwish does not guarantee that any company profiled in a Brief will respond to outreach, engage in commercial discussions, or convert to a client. The effectiveness of outreach depends on factors entirely outside Hethwish's control, including your messaging, timing, and the target company's internal circumstances.
3.3 Data Accuracy
Hethwish uses commercially reasonable efforts to ensure the accuracy of information contained in each Brief. However, all information is sourced from publicly available data, and Hethwish does not warrant or guarantee the completeness, accuracy, reliability, or timeliness of any information provided. Subscribers should independently verify critical information before making business decisions based on Brief content.
4. Subscription, Payment, and Billing
4.1 Subscription Plans and Pricing
Current pricing, plan features, and delivery cadences are published on the Website and may be updated from time to time. All prices are quoted in US Dollars (USD) unless otherwise specified. Hethwish reserves the right to modify pricing at any time, provided that any change to an active Subscriber's pricing shall take effect only at the next renewal period following at least 30 days' written notice.
4.2 Payment Terms
Payments are processed through third-party payment processors (including but not limited to Stripe and Razorpay). By subscribing, you authorise recurring charges to your designated payment method at the applicable rate for your chosen plan. You are responsible for ensuring your payment method is valid and that sufficient funds are available.
4.3 International Payments and Taxes
Subscribers outside India are responsible for any applicable taxes, duties, or charges imposed by their local jurisdiction, including but not limited to VAT, GST, sales tax, or withholding tax. All fees are exclusive of such taxes. Where Hethwish is required to collect tax, it will be added to the invoice. Currency conversion fees, if applicable, are the Subscriber's responsibility.
4.4 Pilot Subscriptions
Pilot subscriptions are offered at a reduced rate for a limited period as specified at the time of purchase. Pilot fees are credited toward the first full subscription period if the Subscriber continues. Pilots do not automatically convert to paid subscriptions unless the Subscriber explicitly opts in.
4.5 Refund Policy
Due to the nature of the Service (delivery of proprietary intelligence content), subscriptions are non-refundable once a Brief has been delivered for the applicable period. If a Brief is not delivered during a subscription period due to Hethwish's failure, the Subscriber is entitled to a pro-rata credit applied to the next billing cycle, or a refund if the Subscriber chooses to cancel.
5. Vertical Exclusivity and Slot Allocation
Hethwish limits the number of subscribing agencies per industry vertical to protect the value and exclusivity of the intelligence provided. The number of available Vertical Slots per niche is determined by Hethwish at its sole discretion and may vary by plan tier.
Once a Vertical Slot is allocated to a Subscriber, it remains reserved for the duration of the active subscription. If a vertical is fully allocated, new applicants for that vertical will be placed on a waiting list and notified when a slot becomes available.
Hethwish reserves the right to reassign or revoke Vertical Slots if a Subscriber's subscription lapses, if the Subscriber materially changes their stated vertical focus, or if the Subscriber breaches these Terms.
6. Intellectual Property and Confidentiality
6.1 Ownership
All Intellectual Property in and relating to the Service, including but not limited to the scoring methodology, signal classification framework, Brief format and structure, outreach templates, proprietary analysis, brand marks, and all Website content, is and shall remain the exclusive property of Hethwish or its licensors. No rights in any Intellectual Property are transferred to the Subscriber except the limited licence granted in Section 6.2.
6.2 Limited Licence
Subject to these Terms, Hethwish grants Subscribers a non-exclusive, non-transferable, revocable licence to use the content of Briefs solely for their own internal business development and outreach purposes. This licence does not permit Subscribers to:
Resell, redistribute, sublicense, or share Brief content with any third party, including other agencies, competitors, or affiliated entities not covered by the subscription;
Reproduce, publish, or publicly display the Brief content or any derivative thereof in any medium;
Use Brief content to create a competing product or service;
Reverse-engineer, deconstruct, or attempt to derive the scoring methodology, signal sourcing methods, or proprietary processes underlying the Service;
Remove, alter, or obscure any proprietary notices, branding, or confidentiality markings on Brief content.
6.3 Confidentiality
The Subscriber agrees to treat all Brief content, scoring data, outreach copy, and proprietary analysis as Confidential Information. The Subscriber shall not disclose Confidential Information to any third party without the prior written consent of Hethwish. This obligation survives termination of the subscription for a period of two (2) years.
7. Acceptable Use Policy
You agree not to use the Website or Service to:
Engage in any activity that violates applicable local, national, or international laws or regulations;
Send unsolicited communications (spam) using Brief content in a manner that violates applicable anti-spam laws, including CAN-SPAM (US), GDPR (EU/EEA), CASL (Canada), the Spam Act 2003 (Australia), or equivalent legislation in your jurisdiction;
Use automated tools, bots, or scrapers to access, collect, or extract data from the Website;
Interfere with or disrupt the integrity or performance of the Website or Service;
Impersonate Hethwish, its representatives, or any other person or entity;
Share login credentials with individuals not authorised under the applicable subscription.
8. Data Protection and Privacy
8.1 Personal Data
Hethwish collects and processes personal data in accordance with applicable data protection laws, including but not limited to the General Data Protection Regulation (EU) 2016/679 (GDPR), the UK Data Protection Act 2018, the California Consumer Privacy Act (CCPA), the Digital Personal Data Protection Act 2023 (India), and other applicable data protection legislation in the Subscriber's jurisdiction.
8.2 Data We Collect
We may collect the following categories of data:
Account information: name, email address, company name, job title, and billing information provided during registration;
Subscription data: plan selection, vertical preferences, geographic focus, campaign speciality, and onboarding profile information;
Usage data: website analytics, Brief engagement metrics, and feedback survey responses;
Technical data: IP address, browser type, operating system, and device information collected through cookies and similar technologies.
8.3 Lawful Basis for Processing (GDPR)
Where GDPR applies, we process personal data on the following lawful bases: (a) performance of a contract (delivery of the Service); (b) legitimate interests (improving the Service, fraud prevention); (c) consent (marketing communications, optional cookies); and (d) legal obligation (tax records, regulatory compliance).
8.4 International Data Transfers
Hethwish operates from India and may transfer data internationally in the course of delivering the Service. Where personal data is transferred outside your jurisdiction, we will ensure that appropriate safeguards are in place, including Standard Contractual Clauses (SCCs) where required by GDPR, or other legally recognised transfer mechanisms.
8.5 Your Rights

9. Cookies and Tracking Technologies
The Website uses cookies and similar tracking technologies. Essential cookies are required for the Website to function and are set automatically. Non-essential cookies (including analytics and marketing cookies) require your consent, which you may grant or withhold through the cookie consent mechanism displayed upon first visit. You may change your cookie preferences at any time through your browser settings.
10. Cancellation, Termination, and Suspension
10.1 Cancellation by Subscriber
You may cancel your subscription at any time by providing written notice to hello@hethwish.com at least 7 days before your next billing date. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for the remaining days within a billing period after cancellation.
10.2 Termination by Hethwish
Hethwish may suspend or terminate your subscription immediately, without prior notice, if: (a) you breach any material provision of these Terms; (b) your payment method fails and is not remedied within 7 days of notification; (c) you engage in conduct that, in Hethwish's sole judgement, is harmful to other Subscribers, the Service, or Hethwish's reputation; or (d) you are subject to bankruptcy, insolvency, or similar proceedings.
10.3 Effect of Termination
Upon termination: (a) your access to the Service and all future Briefs ceases immediately; (b) your Vertical Slot is released and may be allocated to another Subscriber; (c) all outstanding fees become immediately due and payable; (d) the confidentiality obligations in Section 6.3, the limitation of liability in Section 11, and the indemnification in Section 12 survive termination.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
Hethwish shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or loss of goodwill, arising out of or in connection with the Service, even if Hethwish has been advised of the possibility of such damages;
Hethwish's total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by the Subscriber to Hethwish in the twelve (12) months immediately preceding the event giving rise to the claim;
Hethwish is not liable for any actions taken or not taken by the Subscriber or the Subscriber's clients based on information contained in a Brief.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Hethwish, its founder, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms; (c) your outreach activities or communications made using Brief content; (d) any violation of applicable law by you; or (e) any claim by a third party arising from your use of the Service.
13. Disclaimers
THE SERVICE AND ALL BRIEF CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. HETHWISH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.
Hethwish does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) the information in Briefs will be complete, accurate, or current at all times; (c) any particular outcome or result will be achieved through use of the Service; or (d) defects in the Service will be corrected within any specific timeframe.
14. Force Majeure
Hethwish shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, cyber attacks, internet outages, power failures, or failures of third-party service providers.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
15.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good faith negotiations between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.
15.3 Jurisdiction for International Subscribers
Subscribers located outside India consent to the exclusive jurisdiction of the courts of New Delhi, India, for any matters not subject to arbitration. Notwithstanding the foregoing, Hethwish may seek injunctive or equitable relief in any court of competent jurisdiction to protect its Intellectual Property rights.
16. Modifications to Terms
Hethwish reserves the right to modify these Terms at any time. Material changes will be communicated to active Subscribers via email at least 14 days before the changes take effect. Continued use of the Service after the effective date of any modification constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the changes take effect.
17. General Provisions
17.1 Entire Agreement
These Terms, together with any applicable Subscription Plan terms, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings.
17.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
17.3 Waiver
No failure or delay by Hethwish in exercising any right under these Terms shall operate as a waiver of that right. A single or partial exercise of any right shall not preclude any further exercise of that right or any other right.
17.4 Assignment
The Subscriber may not assign or transfer their subscription or any rights under these Terms without the prior written consent of Hethwish. Hethwish may assign its rights and obligations under these Terms to an affiliate or successor entity.
17.5 Notices
All notices under these Terms shall be in writing and sent to the email address on file. For notices to Hethwish: info@hethwish.com. Notices are deemed received upon confirmed delivery.
